Thank you for your interest in the Golden Ticket Contest (the "Contest") organised by Hitlab Inc. ("Hitlab") and the National Academy of Recording Arts & Sciences Inc.

PARTICIPATION RULES

Please note the following important information. By entering the Contest each entrant (individual) must agree that :

  1. You will be able to prove at the time of your registration:
    • your citizenship; and
    • that you possess a valid U.S. passport, or in the case of non-citizen, a valid foreign passport, U.S. immigration documents, and other documentation allowing you to legally enter the United States; and
    • that you are or will be at least 18 years old on January 14th, 20121.
  2. In order to participate in the Competition, you will be required to submit a valid email address and fill out and agree to all of the terms and conditions as described on Hitlab's consent and release forms. ALL FORMS MUST BE FILLED OUT COMPLETELY AND TRUTHFULLY. IF YOU FAIL TO COMPLETE ANY FORM, GIVE ANY FALSE INFORMATION, OR FAIL TO REVEAL ANY PERTINENT INFORMATION, YOU MAY BE DISQUALIFIED FROM THE COMPETITION PROCESS.

1  Contestants Under 18 Years of Age: If you will be under 18 years of age on the day you register, be advised that your parent and/or legal guardian may be required to sign the Hitlab’s release forms on your behalf. If you are selected to be a Performer, your parent and/or legal guardian MUST accompany you to the Event. In addition, your parent or legal guardian must bring a government-issued photo ID (for example, a driver’s license or passport). If you are accompanied by a legal guardian, as opposed to a parent, your legal guardian must bring proof of guardianship (for example, a court order). If your parent or legal guardian is not available to accompany you to the Event, your parent or legal guardian may appoint a guardian to accompany you to the Event. YOUR APPOINTED GUARDIAN MUST BE AT LEAST 21 YEARS OF AGE AND MUST ACCOMPANY YOU TO THE VENUE FOR THE EVENT. In order to appoint a guardian, your parent or legal guardian will have to complete, sign and have notarized the nomination form that will be provided to you by Hitlab.

THE CONTEST PROCESS

  1. Entries will be accepted online only at contests.hitlab.com from January 14 th,2013 until February 4th, 2013 (Eastern Standard Time).
  2. From January 14th, 2013 to February 4th, 2013, Hitlab will schedule a public vote (the “Vote”). Members of the general public (the “Voters”) will be invited to visit Hitlab’s Contest Page and listen to selections from 10 artists. Voters will cast their Vote by selecting their favourite artist from the given list.
  3. Each Voter will be entered into a draw. On February 4th, 2013, Hitlab will draw one Grand Prize winner at random from the list of Voters who have who have entered the draw.

PRIZES

  1. The Grand Prize Winner will receive:
    • (1) pass to the 55th Annual GRAMMY Awards®
    • All expenses will be paid including airfare, accommodations, local transportation and spending money.

GENERAL CONDITIONS

By participating to this Contest, you agree that neither you nor any of your immediate family members (spouse, ex-spouse, parents, siblings, children, step-children) or members of your household (whether or not related to you) are current employees, directors, officers, independent contractors, agents, or representatives of Hitlab or the National Academy of Recording Arts & Sciences Inc., or any other sponsors of the Golden Ticket Contest or Emerging Artist Competition, their respective parents, subsidiaries or affiliated companies, or any of their respective licensees, successors or assigns. Hitlab reserves the right to remove from the Contest any person it determines, in its sole discretion, is sufficiently connected with the Contest or any of the entities described in this paragraph such that such person’s participation in the Contest could create the appearance of impropriety.

Hitlab reserves the right to disqualify and/or exclude, in its sole and absolute discretion, any individual from the Contest for any reason or for no reason at all, including without limitation, violation of any portion of these rules, or tampering with the entry process or the Contest process. Hitlab also reserves the right to change the rules and procedures at any time. Being chosen to participate and/or compete at any level in the Contest process does NOT ensure that you will be selected to continue to the next stage.

Hitlab or any person or entity connected with the production, administration or judging of the Contest, or any of their respective parent companies, affiliates, subsidiaries, successors and assigns, and the respective officers, directors, employees, agents, contractors, partners, shareholders, attorneys, representatives and members of each of the foregoing entities are not responsible for and shall not be liable for: i) any failure or inability of any person to submit material, for any reason caused by any technical failure (such as any computer, telephone, cable, network, electronic, or Internet hardware or software malfunctions, failures or other accessibility or availability issues, unauthorized human intervention, or any other error, omission, or technical malfunction that may occur) or human error that may occur in the processing of submitting material for the Competition; ii) any injuries, losses or damages of any kind caused by traveling to or from the Event venues, being present at the Event venues, participating in the Event; iii) any losses or damages of any kind caused by being selected to or disqualified from continuing in the Competition process and the Event; or iv) any losses or damages for any printing, typographical or technological errors in any materials associated with the competition process.

All federal, state, provincial or local taxes on prizes, if any, are the sole responsibility of the prizewinner.

All federal, state, provincial or local taxes on prizes, if any, are the sole responsibility of the prizewinner.

As a condition of participating in the Contest, the entrant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with the Contest, shall be resolved individually, without resort to any form of class action. Any such dispute arising out of or relating to the Contest will be referred to and determined by private and confidential mediation before a single mediator chosen by the parties and at their joint cost. Should the parties after mediation in good faith fail to reach a settlement, the issue between them shall then be determined by private, confidential and binding arbitration under the rules set forth by the Canadian Commercial Arbitration Center. Both mediation and arbitration shall be located in Montreal, Quebec, Canada. The Arbitration tribunal shall apply the laws of the province of Quebec, Canada without regard for rules of conflicts of law. In any such dispute, the entrant shall, under no circumstances, be entitled to claim punitive, incidental, or consequential damages or any other damages, including attorneys' fees, other than the entrant's actual out-of-pocket expenses (if any) associated with participating in the Contest, and the entrant hereby waives all rights to have damages multiplied or increased.

The Competition is governed by the laws of Quebec, Canada and is subject to all applicable federal, state, provincial and local laws and regulations. VOID IN PUERTO RICO, RHODE ISLAND, TENNESSEE, AND WHEREVER PROHIBITED BY LAW WITH NO EXCEPTIONS.
